What Corporate Structuring Actually Involves

Corporate structuring in an international context means deciding which legal entities exist in which jurisdictions, what functions each performs, and how capital, intellectual property, and profits move between them. A well-designed structure is not merely a diagram of boxes and arrows — it is a network of entities each possessing sufficient substance (directors, decision-making, bank accounts, contracts) to withstand examination by tax authorities, banks, and beneficial ownership registers. Astroaastro begins every structuring engagement with a written scope document that defines the client's business activities, asset types, residence situation, and existing entity footprint before any recommendation is made.

What the Structuring Process Delivers

Each engagement produces a set of documented deliverables, not a verbal recommendation.

Jurisdictional Comparison Report

A written analysis of two to four candidate jurisdictions, covering treaty coverage, substance rules, director requirements, banking availability, and indicative costs. Clients receive this before any incorporation decision is made.

Structure Architecture Diagram

A visual and written description of the proposed multi-entity structure, including the role and function of each entity, capital flow routes, and IP ownership positioning.

Implementation Timeline

A sequenced plan covering incorporation steps, bank account applications, director appointments, and any regulatory notifications, typically spanning eight to sixteen weeks depending on jurisdiction.

Substance Checklist

A per-entity checklist of the substance indicators required in each jurisdiction — office presence, local director engagements, meeting minutes, and board decision records — so the structure remains defensible over time.

What Structuring Does Not Cover

Astroaastro does not provide tax advice governed by Slovenian or any other national tax law — that requires a licensed tax adviser in the client's country of residence. We provide the international structural framework and the documentation to support a domestic tax position; the domestic tax filing and legal opinion remain with appropriately licensed local professionals. We also do not guarantee banking success — bank approval is always at the discretion of the institution — but we do maximize the quality and completeness of the application package submitted.

“The structuring report Astroaastro delivered in March 2023 was the most thorough jurisdictional analysis I had seen — four countries compared on twelve criteria, with a clear recommendation and a written explanation of why the other three were unsuitable for our specific ownership chain. Implementation took eleven weeks. Everything was documented.”
